5.6 Chargebacks

If you initiate a chargeback or payment dispute with your financial institution without first contacting East Coast Wings to attempt resolution, we reserve the right to suspend or terminate your account and to take all legally available remedies to recover amounts owed.

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICE OR CONSUMPTION OF OUR FOOD PRODUCTS;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF EAST COAST WINGS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO EAST COAST WINGS IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless East Coast Wings and its respective officers, directors, employees, contractors, agents, licensors, partners, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any applicable local, state, or federal law or regulation;

For matters governed by federal law, the parties consent to the jurisdiction of the federal courts located in the United States. For matters governed by state law, the parties consent to the exclusive personal jurisdiction and venue of the state courts of competent jurisdiction located in the state in which East Coast Wings maintains its principal place of business.

You agree to submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts. You further waive any objection that such courts constitute an inconvenient forum.

These Terms shall be interpreted and enforced in compliance with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45), as well as all applicable state consumer protection statutes. To the extent that you are a California resident, the California Consumer Privacy Act (CCPA) and its amendment, the California Privacy Rights Act (CPRA), may apply to our processing of your personal information, as further described in our Privacy Policy.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact East Coast Wings in writing at [email protected] to describe the nature of your dispute and the relief you are seeking. East Coast Wings will attempt to resolve the dispute informally within thirty (30) calendar days of receiving your written notice. This informal resolution process is a prerequisite to initiating any formal dispute resolution proceedings.

10.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation within the thirty (30) day period, then either party may elect to resolve the dispute through binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) in effect at the time the arbitration is initiated, or such other mutually agreed arbitration body.

The arbitration shall be conducted by a single neutral arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitration shall be conducted in the English language. The parties shall share equally in the costs of arbitration, except that each party shall bear its own attorneys' fees and costs unless the arbitrator determines that a party's claims or defenses were frivolous or brought in bad faith.

10.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

10.4 Exceptions

Notwithstanding the foregoing, East Coast Wings reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information. Nothing in this section shall limit either party from seeking emergency relief from a court to prevent irreparable harm pending the outcome of arbitration.

10.5 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.

11. Term and Termination

These Terms shall remain in full force and effect while you use the Service or maintain an account with East Coast Wings.
